# Siemens officially acquires Altair Engineering

As [VoxelMatters anticipated last week](https://www.voxelmatters.com/siemens-reportedly-in-acquisition-deal-talks-with-altair/), [Siemens](https://www.voxelmatters.directory/company/siemens-digital-industries-software/) is officially acquiring [Altair Engineering Inc.](https://www.voxelmatters.directory/company/altair/), a leading software provider in the industrial simulation and analysis market. Altair shareholders will receive USD 113 per share, representing an enterprise value of approximately USD 10 billion. The offer price represents a 19% premium to Altair's unaffected closing price on October 21, 2024, the last trading day prior to media reports regarding a possible transaction. With this acquisition, Siemens and Altair are able to offer the most complete solution from part design to production, with a particular focus on additive manufacturing parts and processes.

## Synergies between Siemens and Altair

The Altair acquisition significantly aligns with Siemens’ strategic goal of bolstering its capabilities in digital and sustainability transformations for industrial customers. Integrating Altair’s advanced simulation tools with Siemens Xcelerator—Siemens’ open digital business platform—will foster a more robust AI-driven simulation and design ecosystem. According to Siemens CEO Roland Busch, this move is a "logical next step" in Siemens' ongoing mission to democratize AI and data-driven insights across various industries.

Altair’s simulation strengths in mechanical and electromagnetic capabilities will extend Siemens’ Digital Twin technology, creating a comprehensive, physics-based simulation portfolio. Altair’s data science capabilities also offer significant value by enabling broader, more accessible simulation applications, facilitating faster design iterations, and reducing time-to-market.

## Financial and operational impact of Altair acquisition

Financially, the Altair acquisition is set to enhance Siemens' digital revenue by 8%, contributing approximately €600 million to Siemens’ digital business, which reported €7.3 billion in revenue for fiscal year 2023. Siemens anticipates achieving cross-selling synergies by providing Altair with full access to Siemens' extensive customer base, aiming for a mid-term revenue impact of over $500 million annually, potentially growing to over $1 billion annually long-term.

Additionally, Siemens projects substantial cost synergies, with an EBITDA impact exceeding $150 million annually by the second year post-closing. The acquisition will be entirely cash-financed through Siemens' current resources, underscoring Siemens’ strong financial position and commitment to maintaining a high credit rating.

## Long-term vision and implications for additive manufacturing

This acquisition reinforces Siemens’ position in the engineering software sector, building on nearly 15 years of advancements in industrial software. Altair CEO James Scapa emphasized the complementary nature of the two companies’ technologies and corporate cultures, predicting that the combined expertise will accelerate innovation in simulation, data science, and high-performance computing (HPC) for a global audience across industries like manufacturing, life sciences, and energy.

Both Siemens and Altair have strategic interests in the additive manufacturing (AM) industry and commercialize software used for DfAM part design (CAD/CAE) and topology optimization, finite element analysis (FEA), AM workflow management and execution (MES), machine management (CAM), process simulation and product lifecycle management (PLM). These include popular platforms such as Siemens NX, used in multiple applications, and Altair Inspire. Although in some cases they overlap, Siemens is generally more focused on workflow and running the machines, Altair has a deeper focus on designing the parts. Together they can provide the most complete solutions for optimizing and producing AM parts across multiple technologies in both metal and polymer AM.

## Next steps and closing conditions

The Altair acquisition is expected to be EPS accretive (pre-Purchase Price Allocation) by the second year following the deal's closure, which is anticipated in the latter half of 2025. The transaction is subject to customary regulatory approvals and will support Siemens' growth strategy, including the potential to leverage proceeds from the Innomotics divestment and share sales in other listed entities for additional deleveraging and reinvestment.

With this acquisition, Siemens strengthens its portfolio and cements its leadership position in the industrial software domain, furthering its goal of bridging the physical and digital realms to enable transformative solutions across industries.
