Amaero Inc., listed on the Australian securities exchange as 3DA, has re-signed Chief Executive Officer and Chair Hank Holland to a four-year contract running through June 2030, ending an arrangement in which he held no equity incentives during his first four years leading the company.

The JV agreement outlines that Amaero and Rabdan will partner on additive manufacturing and metal powder production in the Middle East.

The deal grants Holland 60 million CHESS Depositary Interests (CDIs), split evenly between time-based restricted stock units and performance stock units. The performance units vest in three tranches of 10 million CDIs each, tied to 20-day volume-weighted average share price hurdles of A$0.50 ($0.35), A$0.75 ($0.53) and A$1.00 ($0.71).

Half of each earned tranche vests once its hurdle is met, with the remainder vesting on the later of the second anniversary of the grant date or the hurdle being reached.

Holland’s fixed remuneration rises to US$750,000, with a cash bonus targeted at 100% of salary and capped at 200%. The package also includes an IPO bonus, paid 50% in cash and 50% in restricted stock units, that triggers if Amaero completes a U.S. listing during Holland’s term.

The board retained Korn Ferry to benchmark the package against peer compensation before finalizing the terms, and the grants require shareholder approval.

Amaero is a Tennessee-headquartered producer of titanium and refractory alloy powders supplying U.S. defense, space and aviation customers, and is ramping titanium powder and powder metallurgy hot isostatic pressing (PM-HIP) manufacturing for those customers.

The company reported a significant revenue rise earlier this year, despite recording a loss for the final half of 2025.
