Amaero Inc has filed with the U.S. Securities and Exchange Commission for a proposed initial public offering and Nasdaq listing. The company reported plans to offer 7,456,500 shares of common stock and has applied to list on the Nasdaq Global Select Market under the ticker AMRO.

The JV agreement outlines that Amaero and Rabdan will partner on additive manufacturing and metal powder production in the Middle East.

Amaero produces spherical refractory and titanium alloy powders for additive manufacturing, along with large near-net-shape components made through powder metallurgy hot isostatic pressing. Based on an assumed offering price of $7.06 per share, the offering would carry a gross value of approximately $52.6 million, though the company stated the final price would be set through negotiations with its underwriters.

Amaero estimated net proceeds of approximately $46.1 million after underwriting discounts, commissions and offering expenses, a figure that could rise to approximately $53.4 million if underwriters fully exercise an option to purchase a further 1,118,475 shares.

The company intends to direct up to approximately $17.5 million of the proceeds toward capital equipment purchases over the next twelve months, with the remainder earmarked for general corporate purposes including working capital, operating expenses and research and development.

Amaero’s manufacturing operations are based at its AS9100D-certified facility in McDonald, where it currently operates three Electrode Induction Melting Inert Gas Atomisation (EIGA) systems, with a fourth scheduled for commissioning in June 2027. The company has a current annual powder production capacity of 680 tonnes, with a maximum of 720 tonnes depending on product mix.

Amaero is also expanding its PM-HIP capabilities for large, complex near-net-shape components.

For the six months ended June 30, 2026, Amaero reported revenue of approximately $7.4 million, compared with $1.2 million in the corresponding period of 2025.
